PART A – Terms of Use (Website Terms)

1. Introduction

These Terms of Use ("Terms") govern your access to and use of the website, platform, and services operated under the brand NXTHarbor, owned by Stratyx Advisors Private Limited ("Company", "we", "us", "our").

By accessing or using the platform, you agree to be bound by these Terms.

2. Nature of Platform

a. The platform provides consulting and advisory support to employees facing workplace issues;
b. The Company is not a law firm and does not provide legal representation or legal services;
c. Any insights, suggestions, or recommendations are advisory in nature only.

3. Eligibility

You represent that:

You are competent to contract under applicable law;
All information provided by you is accurate and complete.

4. User Account & Data

a. You may be required to provide personal and case-related information;
b. You agree that:

Information submitted is truthful and not misleading;
You will not impersonate any person;

c. Your data may be stored and processed using third-party platforms including Zoho CRM.

5. Acceptable Use

You agree not to:

Use the platform for unlawful purposes;
Submit false, defamatory, or harmful information;
Attempt to gain unauthorized access to systems;
Disrupt platform operations;

6. Third-Party Services

a. The platform integrates third-party services including:

Zoho CRM (data storage and management);
Razorpay (payment processing).

b. Your use of such services is subject to their respective terms and policies.
c. The Company shall not be responsible for:

Downtime, errors, or data issues arising from such third-party platforms;
Payment failures or processing delays.

7. Intellectual Property

All content, materials, branding, and platform elements are owned by the Company.
You shall not copy, reproduce, or exploit any part without prior written consent.

All third-party names, trademarks, and services (including Zoho CRM and Razorpay) are the property of their respective owners. Reference to such services does not imply any affiliation, partnership, or endorsement by such third parties.

8. Disclaimer

a. The platform is provided on an "as-is" and "as-available" basis;
b. The Company makes no warranties regarding:

Accuracy or completeness of advice;
Outcome of any consultation;
Continuous availability of services.

9. Limitation of Liability

To the maximum extent permitted by law:

The Company shall not be liable for indirect, incidental, or consequential damages;
Aggregate liability (if any) shall be limited to the fees paid by the user for services.
The Company shall not be liable for any act, omission, failure, downtime, breach, or security incident attributable to third-party service providers including but not limited to Zoho CRM and Razorpay.

10. Termination

The Company may suspend or terminate access:

For breach of these Terms;
For misuse of platform;
At its discretion, with or without notice.

11. Governing Law

These Terms shall be governed by the laws of India. Courts at Gurgaon shall have exclusive jurisdiction.

PART B – Terms of Consulting Services

1. Scope of Services

a. The Company provides:

Workplace issue assessment;
Strategic advisory and guidance;
Documentation and communication support and related services.

b. Services do not include legal representation, court appearance, or legal advice.

2. No Attorney-Client Relationship

Use of services does not create:

Attorney-client relationship;
Fiduciary relationship beyond standard consulting obligations.

3. No Expert Opinion

You expressly acknowledge and agree that:

a. Any advice, opinion, document, or communication provided by the Company is not an expert opinion within the meaning of applicable evidence laws, including the Indian Evidence Act, 1872;
b. Such advice is not intended to be relied upon or produced as expert evidence in any court, tribunal, or legal proceeding;
c. The Company does not undertake any obligation to appear, testify, or support any matter before any judicial or quasi-judicial authority.

4. User Responsibility

You agree:

Final decisions and actions are your sole responsibility;
You will independently evaluate any advice provided;
You will seek licensed legal counsel where required.

5. Engagement and Delivery

a. Services may be delivered via calls, written consultations, or platform-based communication;
b. Timelines are indicative and not guaranteed.

6. Fees and Payments

a. All fees shall be as communicated prior to engagement;
b. All fees are exclusive of applicable taxes, including but not limited to GST, which shall be charged additionally and payable by the user.
c. Payments shall be processed via Razorpay or such authorised payment gateways;
d. The Company:

Does not store payment instrument details;
Relies on third-party payment processors.

e. You agree to comply with Razorpay's terms while making payments.

6. Refund & Cancellation

a. Fees once paid are generally non-refundable, except:

Where services have not been rendered;
At Company's discretion.

b. Partial refunds, if any, shall be determined case-by-case solely at Company's discretion.

7. Confidentiality

a. The Company shall take reasonable steps to maintain confidentiality.
b. However, you acknowledge:

Data is stored on third-party systems (e.g., Zoho CRM);
Absolute security cannot be guaranteed.

8. Data Usage and Storage

a. Your data may be:

Stored;
Processed;
Analysed for service delivery and internal improvements;

b. Data handling is subject to:

Applicable laws;
Third-party platform capabilities and limitations.

9. Limitation of Services Liability

a. The Company shall not be liable for:

Outcomes of workplace disputes;
Employer actions or decisions;
Legal consequences of actions taken by you.

b. Maximum liability shall not exceed the fees paid for the specific service.

10. Indemnity

You agree to indemnify and hold harmless the Company from:

Claims arising from your actions;
Misuse of advice;
Breach of these Terms.

11. Suspension / Refusal of Service

The Company reserves the right to refuse or discontinue services if:

Information provided is false or misleading;
The matter involves illegal or unethical activity;
There is abuse or misconduct toward Company representatives.

12. Modifications

The Company may modify these Terms at any time. Continued use constitutes acceptance.

13. Entire Understanding

These Terms constitute the entire agreement governing:

Platform usage;
Consulting services.
